Job Description

A Company Secretary is a vital governance professional within an organization, responsible for ensuring compliance with regulatory and statutory requirements. As a fresher in this role, you will be joining a key function that facilitates communication between the board, management, and stakeholders. This position demands an individual who is detail-oriented, knowledgeable about corporate laws, and skilled in administration. You will play a crucial role in organizing meetings, managing corporate documentation, and ensuring that the company adheres to legal standards and internal policies. This role offers you the chance to work closely with the upper echelons of corporate structure, providing unique insights into corporate governance and operations.


Responsibilities

  • Assist in the preparation and distribution of board meeting agendas and documents.
  • Maintain and update statutory books and ensure they are accurate and current.
  • Ensure compliance with applicable laws, regulations, and internal policies.
  • Support the drafting and updating of corporate governance documents and policies.
  • Arrange the logistics for board meetings, annual general meetings, and other executive events.
  • Facilitate effective communication between the board of directors and other stakeholders.
  • Document minutes of meetings accurately and distribute them to relevant parties.
  • Oversee filing and documentation related to statutory and regulatory submissions.
  • Research changes in corporate laws and regulations and inform management accordingly.
  • Coordinate with auditors and legal advisors to support compliance-related matters.
  • Assist in the development and implementation of risk management strategies.
  • Prepare reports and conduct reviews to ensure the organization’s compliance practices are effective.

Requirements

  • Bachelor’s degree in Law, Business Administration, or a related field.
  • Knowledge of corporate governance principles and regulatory requirements.
  • Excellent organizational skills with strong attention to detail and accuracy.
  • Effective communication skills, both verbal and written, in English.
  • Proficiency in Microsoft Office Suite and familiar with document management systems.
  • Ability to handle confidential information with integrity and discretion.
  • A proactive attitude towards problem-solving and continuous learning.
