Position Overview
The Manager – Secretarial is responsible for overseeing secretarial activities, ensuring adherence to corporate governance norms, and compliance with company law, SEBI, Stock Exchange, and other statutory requirements. The role involves managing Board and Committee meetings, ensuring timely filings, and safeguarding statutory records, while also guiding and mentoring subordinates for effective performance.
Job Purpose
To ensure complete compliance with statutory, regulatory, and corporate governance requirements while managing secretarial operations, safeguarding legal records, and enabling effective stakeholder management.
Key Roles & Responsibilities
Compliance Management:
- Ensure adherence to all statutory, legal, and regulatory requirements under the Companies Act, SEBI, and Stock Exchange.
- Prepare and file Annual Reports, Directors’ Reports, Annual Returns, and other statutory filings within prescribed timelines.
- Liaise with regulatory bodies such as the Registrar of Companies, Company Law Board, and other authorities to ensure smooth compliance.
- Monitor changes in legislation and regulations, providing timely updates and guidance to management.
Corporate Governance:
- Support in organizing and conducting Board Meetings, Audit Committee Meetings, AGMs, Shareholder Meetings, Investor Grievance Committee, and Compensation Committee in line with statutory norms.
- Ensure compliance with corporate governance requirements and timely dissemination of information to stakeholders.
- Provide secretarial support to the Board and its committees, including drafting agendas, preparing minutes, and ensuring timely circulation of materials.
Records & Documentation:
- Maintain and update Statutory Registers as per the Companies Act.
- Ensure safe custody of critical documents including original agreements, court orders, certificates of incorporation, and other legal records.
- Implement robust systems for document management and retrieval.
Stakeholder Management:
- Collaborate with internal departments and external stakeholders to ensure smooth execution of secretarial and compliance responsibilities.
- Act as a point of contact for regulators, auditors, and legal advisors.
- Facilitate effective communication between management, the Board, and shareholders.
People Development & Leadership:
- Provide direction, guidance, and support to subordinates for effective discharge of their responsibilities.
- Continuously monitor team performance, identify key performers, and provide coaching and mentoring support.
- Foster a compliance-driven, performance-oriented culture within the team.
Qualifications & Experience
Education:
- Essential: CS (Company Secretary) qualification
- Preferred: Additional legal or compliance certifications
Experience:
- 5–8 years of experience in secretarial and compliance roles, preferably within listed companies or regulated industries
Skills & Capabilities
Core Technical Skills:
- In-depth knowledge of Companies Act, SEBI guidelines, and Stock Exchange compliance requirements
- Strong expertise in statutory filings, corporate governance, and secretarial practices
- Proficiency in drafting agendas, minutes, reports, and statutory documentation
- Hands-on experience in maintaining Statutory Registers and managing digital compliance systems
- Ability to liaise effectively with regulators, auditors, and legal authorities
