We are looking for a skilled Legal Counsel to provide end-to-end legal support across our business operations. The role covers corporate governance, contracts, compliance, dispute resolution, and advisory, ensuring the organization operates within the law while supporting its commercial objectives. The ideal candidate is proactive, detail-oriented, and able to balance legal expertise with practical business solutions.
Provide comprehensive legal counsel on corporate governance and entity management across UAE mainland, free zones, and offshore jurisdictions.
Ensure ongoing compliance with applicable laws, licensing requirements, and regulatory frameworks.
Conduct legal risk assessments across business units and advise management on appropriate mitigation strategies.
Prepare and review internal governance documents such as corporate policies and compliance protocols.
Foster a legally sound operational environment by ensuring adherence to legal best practices across all entities.
2. Commercial Contracts & Transactions
Draft, review, and negotiate a wide range of commercial agreements, including but not limited to: Collaboration Agreements, Distribution & Agency Agreements, Loan & Finance Agreements, Maintenance & Service Contracts, Lease & Tenancy Agreements, Sale & Purchase Agreements, Vendor, Procurement & Licensing Contracts
Collaborate with internal stakeholders (Procurement, Finance, Operations, HR) to structure commercially viable and legally enforceable contracts.
3. Contract Management
Oversee the full contract lifecycle, including contract intake, drafting, review, negotiation, approval, execution, storage, renewal, and termination.
Implement and maintain standardized contract templates, clause libraries, and internal approval workflows.
Monitor key contractual obligations, deadlines, and renewal dates, ensuring compliance and timely action.
Utilize legal and contract management tools/systems to centralize records and improve contract visibility across the organization.
4. Legal Advisory & Dispute Resolution
Advise the business on both contentious and non-contentious legal issues, including contractual breaches, regulatory investigations, and operational disputes.
Lead legal negotiations and manage settlement discussions with third parties to resolve disputes effectively and efficiently.
Draft and issue legal notices in line with applicable laws and business objectives.
Coordinate with external legal counsel as needed for litigation, arbitration, or regulatory actions.
Provide strategic guidance for dispute resolution and proactive risk avoidance.
5. Legal Research & Documentation
Conduct comprehensive legal research and prepare detailed legal opinions, risk memos, and analysis papers to support internal decision-making.
Ensure accuracy, clarity, and consistency in legal communications and documentation.
6. Employment Law & Internal Advisory
Advise on employment-related legal matters in compliance with UAE labor law and MOHRE guidelines.
Provide day-to-day legal advisory on corporate operations and internal regulatory matters.
7. Intellectual Property and Legal Affairs in Media, Entertainment, and Events
Advise on and draft/negotiation of media and entertainment-related agreements, including those involving artists, content creators, influencers, performers, sponsorships, and brand collaborations across digital and physical platforms.
Ensure strict compliance with applicable UAE laws, including advertising standards, content regulations, and event-related licensing requirements, in alignment with both regulatory obligations and commercial objectives.
Oversee the management and protection of the organization’s intellectual property portfolio, including the registration, enforcement, assignment and licensing of trademarks, copyrights, and other IP assets.
Qualifications & Experience:
Bachelor’s degree in Law (LLB or equivalent); Master’s or Postgraduate legal qualification preferred.
Minimum 5+ years of post-qualification experience, including in-house legal advisory roles.
Strong experience in commercial contracting, dispute resolution, governance, and regulatory compliance.
Working knowledge of UAE laws, especially in civil, commercial, labor, and corporate areas.
Industry experience in events, media, real estate, or entertainment sectors is advantageous.
Key Skills & Competencies:
Excellent legal drafting, negotiation, and analytical skills.
Ability to manage multiple complex matters across jurisdictions with minimal supervision.
High attention to detail with a pragmatic and solutions-oriented mindset.
Strong stakeholder management and communication skills.
Experience with legal tech and contract management tools is a plus.
