About The Role
We are seeking a highly skilled and detail-oriented Company Secretary (CS) to join our leadership and governance team. The role will be pivotal in ensuring compliance with corporate laws including but not limited to Companies Act 2013, FEMA, Depository Act, regulatory requirements as per IRDAI, RBI, and SEBI laws, and governance best practices for an insurance aggregator operating in a highly regulated environment.
You will act as the bridge between the Board of Directors, management, shareholders, and regulators, ensuring our corporate governance framework is robust, compliant, and IPO ready.
Key Responsibilities:-
- Board & Corporate Governance
- Organise and manage Board meetings, Committee meetings, and General meetings, including drafting agendas, notices, and minutes.
- Ensure timely filing of statutory returns and forms with the Registrar of Companies, IRDAI and other regulators.
- Maintain statutory registers and company records in compliance with the Companies Act, 2013.
- Advise the Board on corporate governance, ethics, and statutory responsibilities.
- Ensure compliance with all secretarial standards issued by ICSI.
- Monitor adherence to Fit and Proper Criteria for Directors/Key Managerial Personnel.
- Advise the Board on regulatory developments, governance standards, and fiduciary responsibilities.
- Serve as a liaison between the Board of Directors and management.
- Ensure that necessary approvals are obtained from the Board of Directors, shareholders, and relevant committees as required for key business decisions and regulatory compliance.
- Regulatory & Legal Compliance (Insurance Sector)
- Liaise with authorities such as MCA, RBI, NSDL, etc for compliance, licensing, and reporting obligations relevant to the company.
- Ensure adherence to IRDAI guidelines, Companies Act, SEBI, RBI and FEMA regulations, and other applicable laws.
- Monitor changes in legislation and ensure that company undertakes relevant compliances in a timely manner.
- Corporate Filings & Secretarial Work
- Draft, review, and maintain company charters, policies, and governance manuals.
- Handle annual reports, directors reports, and disclosures.
- Manage corporate restructuring, share allotments, transfers, and related documentation.
- Coordinate with legal advisors and external consultants when required.
- Assist in handling inspections and audits from IRDAI and other regulatory bodies.
- Risk Management & CSR/ESG
- Support in risk identification and mitigation from a governance and compliance perspective.
- Assist in CSR and ESG (Environmental, Social, and Governance) compliance, disclosures, and reporting for board and investors.
Qualifications & Experience
- Member of the Institute of Company Secretaries of India (ICSI) - mandatory.
- 9-10 years of post-qualification experience, preferably in a BFSI/Fintech/Insurance/Insurance Aggregator company.
- Strong knowledge of the Companies Act, 2013, IRDAI regulations, and related corporate governance frameworks.
- High level of integrity and ethical standards.
- Experience in working with start-ups or high-growth companies is an advantage.
- Exposure to RBI, SEBI, or IRDAI compliance is a strong plus.
Skills & Competencies
- Excellent Drafting, Communication, and Presentation Skills:
Strong command over written and verbal communication in English. Ability to draft high-quality board resolutions, meeting minutes, regulatory correspondence, legal documents, policies, and internal notes with clarity and precision. Comfortable presenting and explaining complex regulatory or compliance matters to senior management and board members.
- Stakeholder Management & Collaboration:
Proven ability to coordinate with multiple internal and external stakeholders including senior leadership, regulatory bodies (such as IRDAI), legal counsel, auditors, and compliance officers. Capable of working across departments to ensure smooth information flow and timely compliance.
- Proactive and Detail-Oriented Approach:
Demonstrates a high degree of attention to detail and accuracy in managing statutory records, filings, and documentation. Anticipates compliance and governance needs and takes initiative to address them before they become issues.
- Strategic Thinking with a Compliance-First Mindset:
Ability to align secretarial and compliance functions with broader business goals while ensuring that the company operates within the regulatory framework. Advises on potential risks and opportunities from a regulatory and governance perspective, contributing to informed business decision-making.
