Job Description

As a Legal Counsel, you will provide legal advice and support for commercial (and corporate as needed) matters in primarily Benelux, but also other EMEA countries as needed. You will be part of a team of experienced lawyers across the EMEA and you will report to the Head of Legal for Northern Europe. You will be primarily responsible for supporting the sales and services organizations and other business stakeholders, including decision makers in the organization.

You will actively manage, draft and negotiate complex commercial agreements, particularly license and professional services agreements for commercial software products. Your main areas of focus are commercial transactions, software licensing and other related contracts and you are a key enabler in negotiating and closing customer contracts. The role could from time to time also include work related to employment, policies, purchasing contracts, dispute resolution, regulatory compliance issues and support in M&A transactions as needed.

As a business advisor in the company, you have excellent advocacy, communication, organization, and time management skills. You are a team player, responsive, and can consistently meet turnaround times in a fast-moving environment.

Role Description & Responsibilities:

  • Support sales and services teams in Benelux and in other EMEA countries as needed and assigned
  • Negotiate and draft software license agreements, professional services and support agreements, NDAs, distribution agreements, and other software-related contracts
  • Support Benelux-related aspects of group acquisitions and mergers, including post-acquisition or merger implementation in coordination with HQ Corporate Legal team as needed and assigned
  • Advise on general corporate and commercial matters in cooperation with HQ Corporate Legal team
  • Develop and provide employees with training materials regarding legal processes, corporate compliance, and other legal topics
  • Actively contribute to EMEA Legal Department initiatives

Qualifications:

  • Masters in Laws (LLM) degree
  • Relevant experience working in an international company (ideally a stock-listed company) or a well-renowned law firm
  • Fluent in Dutch and English (including Legal English)
  • Excellent drafting skills and attention to detail
  • IT industry experience is desirable
  • Able to advise, support, and interact with internal stakeholders
  • Strong communication skills
  • Self-starter and able to work independently and to report effectively to the management
  • Good business judgment and strategic thinking
  • Team player
