Legal Counsel

We are seeking an experienced and commercially minded Legal Counsel to join our real estate investment platform. The successful candidate will work across a broad range of high-value and complex real estate transactions, including M&A, joint ventures, investment structuring, and fund management initiatives. This role offers significant exposure to institutional-grade investments and the opportunity to work closely with senior leadership.

Key Responsibilities

• Drafting, review, and negotiation of investment documentation, term sheets, subscription agreements, and shareholder arrangements.
  
• Coordinate and manage legal aspects of due diligence for equity and debt transactions.
  
• Provide legal support for corporate finance initiatives, including capital restructuring and strategic investment activities.
  
• Ensure compliance with UAE regulatory frameworks across onshore, ADGM, and DIFC jurisdictions.
  
• Support the establishment of legal entities and regulated fund structures, including drafting corporate incorporation and regulatory documentation.
  
• Review, draft, and negotiate a wide range of commercial, real estate, and construction-related contracts.
  
• Advise on the interpretation and application of contractual and statutory provisions to support enforcement strategies, dispute management, and commercial negotiations.
  
• Work closely with investment, procurement, commercial, and finance teams to execute complex real estate transactions.

• Qualified lawyer in the UK, US, or another recognized common law jurisdiction.
  
• Minimum 5 years PQE gained at a reputable international law firm or within an established corporate/investment fund.
  
• Strong background across corporate law, private equity, funds.
  
• Exceptional legal drafting, negotiation, and analytical skills.
  
• Demonstrated ability to manage complex transactions in fast-paced, high-growth environments.
  
• Strong problem-solving abilities and a commercial mindset with the ability to devise practical, creative solutions.
