We Want
The ‘Legal Counsel – Regulated Industries’ serves as TOAST’s primary legal advisor for highly regulated sectors, including pharmaceuticals, healthcare, biotechnology, medical devices, and financial services. The role provides practical legal guidance to support the development and delivery of innovative digital, experiential, AI-powered and immersive solutions while ensuring compliance with applicable legal, regulatory and contractual obligations.
Working closely with Client Services, Production, Technology, Medical Affairs and Executive Leadership, the Legal Counsel will advise on commercial contracts, regulatory risk, healthcare compliance, AI governance, intellectual property, privacy and data protection matters.
The ideal candidate combines strong legal expertise with a commercial mindset and the ability to operate effectively within a fast-paced, innovation-focused environment.
Key Responsibilities
Legal & Regulatory Advisory
- Serve as the primary legal advisor for projects within regulated industries.
- Provide practical legal guidance across healthcare, pharmaceutical, biotechnology and technology engagements.
- Assess legal and regulatory risks associated with client programmes and emerging technologies.
- Support internal decision-making through clear, commercially focused legal advice.
- Monitor developments in relevant regulatory frameworks and industry standards.
Healthcare & Pharmaceutical Compliance
- Advise on legal considerations relating to pharmaceutical and healthcare communications.
- Support teams developing HCP, patient and medical education programmes.
- Partner with Medical Affairs teams to identify regulatory and compliance risks.
- Provide guidance on promotional and non-promotional communications.
- Support healthcare-related review processes and governance frameworks.
- Advise on industry regulations affecting digital health, AI and healthcare innovation initiatives.
Commercial Contracts
- Draft, review and negotiate client agreements, statements of work, master services agreements and vendor contracts.
- Advise on intellectual property ownership, licensing and usage rights.
- Support procurement, partnership and strategic supplier agreements.
- Manage contract risk and ensure consistency with company policies.
- Provide legal support during client negotiations and commercial discussions.
AI & Emerging Technology Governance
- Advise on legal and regulatory considerations relating to AI-powered products and services.
- Support governance frameworks for generative AI, machine learning and automated systems.
- Assess risks relating to AI outputs, training data, content generation and user interactions.
- Advise on transparency, accountability and responsible AI deployment.
- Partner with technology teams to support compliant product development.
Privacy & Data Protection
- Advise on data protection and privacy requirements across multiple jurisdictions.
- Support compliance with HIPAA, GDPR, CCPA and other applicable privacy regulations.
- Review data processing activities and associated contractual arrangements.
- Support incident response and privacy risk assessments where required.
- Ensure privacy considerations are embedded within project planning and delivery.
Intellectual Property
- Advise on copyright, trademark, licensing and ownership matters.
- Support protection of company intellectual property and proprietary technologies.
- Review third-party content usage and licensing arrangements.
- Advise on open-source software, AI-generated content and technology licensing matters.
- Support patent and innovation-related legal considerations where appropriate.
Corporate Governance & Risk Management
- Support corporate governance activities across multiple jurisdictions.
- Maintain legal templates, policies and internal guidance materials.
- Develop legal risk management processes and best practices.
- Support dispute resolution and management of external legal counsel.
- Assist with corporate transactions, acquisitions and strategic partnerships where required.
Regulated Industry Experience
Experience in one or more of the following areas is preferred:
- Pharmaceuticals
- Biotechnology

- Software and Technology Services
Required Experience
- Juris Doctor (JD) and admission to practice law within the United States.
- Significant experience within healthcare, life sciences, technology or other regulated industries.
- Experience drafting and negotiating complex commercial agreements.
- Strong understanding of regulatory and compliance frameworks.
- Experience advising on privacy, intellectual property and technology matters.
- Experience working with cross-functional business teams.
- Ability to balance legal risk with commercial objectives.
- Experience supporting international businesses operating across multiple jurisdictions.
Desired Experience
Experience in one or more of the following areas is advantageous:
- Pharmaceutical promotional review processes
- Medical Legal Review (MLR) environments
- FDA and OPDP considerations
- Digital therapeutics and digital health solutions
- AI governance and emerging technology regulation
- SaaS and software licensing
- Immersive technologies including VR, AR and XR
- Healthcare congresses and scientific engagement programmes

Compensation
This is a full-time global role, with flexibility on location and options for hybrid working. Compensation is competitive and aligned to senior global leadership experience.
