Job Title: Legal Advisor

Job Purpose:

To provide legal support to Biopharma-MEA, ensuring that the Company's activities, agreements, and business arrangements are established and conducted in compliance with applicable laws, contractual obligations, and Company policies, while supporting business requirements and identifying and mitigating legal and contractual risks across the Company's operations.


Duties & Responsibilities:

  • Draft, review, negotiate and advise on agreements, including distribution, sub-distribution, supply, promotion, agency, services, consultancy, confidentiality and other business agreements.
  • Review contractual obligations, identify potential legal and business risks, and recommend appropriate risk-mitigation measures while supporting the Company's business objectives.
  • Provide legal advice and support to management and cross-functional teams on contractual, commercial, corporate, employment and general business matters.
  • Support contract legal discussions with the company business partners, Marketing Authorization Holders (MAHs), distributors, sub-distributors, service providers and other relevant stakeholders.
  • Maintain and monitor contractual documentation, key obligations, renewal dates, termination provisions and other material contractual requirements.
  • Support the assessment and management of disputes, claims, contractual breaches and potential liabilities, and coordinate with external legal counsel whenever required.
  • Support corporate governance activities and the preparation or review of corporate documents, resolutions, powers of attorney and other legal documentation.
  • Stay informed of relevant changes in applicable laws and regulations and ensure compliance with Company policies and legal requirements across the Company's operations.


Qualifications:

  • Bachelor's degree in Law or equivalent recognized legal qualification. 
  • Professional legal qualification or postgraduate degree in international Business law is a definite plus.
  • Minimum 5 years of relevant legal experience, with strong experience within the pharmaceutical, healthcare or life sciences industry.
  • Demonstrated experience in contractual arrangements with pharmaceutical manufacturers, suppliers, Marketing Authorization Holders (MAHs), distributors and sub-distributors.
  • Proven legal experience supporting pharmaceutical business operations across Egypt and GCC markets, with good understanding of the applicable commercial, corporate, contractual and regulatory environment.
  • Strong understanding of the pharmaceutical business model and the contractual relationships between MAHs/manufacturers, local representatives, distributors and sub-distributors
  • Strong legal research, analytical and contract interpretation skills, with excellent negotiation capabilities.
  • Strong problem-solving skills with the ability to identify legal and contractual risks, evaluate alternatives and provide practical, business-oriented options for management decision-making.
  • Excellent command of English language written/Spoken; good command of Arabic is highly preferred.
  • Good command of computer & Microsoft office skills.
  • High level of professionalism, confidentiality and sound judgment, with demonstrated values of integrity, respect, accountability, excellence, ownership & teamwork.
