As the internal support organization for DNV and DNV owned companies, we deliver shared services within Human Resources, Finance, IT and Real Estate & Procurement to DNV globally. GSS is responsible for many of the tools, processes and daily routines that create the backbone of DNV.
About The Role
As a corporate specialist in our team, you will be responsible for:
Maintaining and keeping information up to date for all the Legal Entities assigned in accordance with Internal requirements in our corporate digital tool and physical archives when required by law.
Coordinate and oversee Corporate Filings with government authorities as and when required by local law.
Ensuring business licenses are up to date and compliant to the services provided and local law.
Liaise with shareholders, board members, corporate officers, lawyers, third party providers on governance matters
Entity compliance calendar management.
Liaising with BA stakeholders, GSS internal stakeholders and finance colleagues where they need specific support on POA, director signatories on matters related to their roles.
Coordination of multi country governance projects, liquidation implementation support, and implementing legal entity clean-up programmes.
Coordinating corporate actions to ensure that necessary corporate actions are taken, including:
Board meetings General meetings, both annual general meetings (AGM) and extraordinary general meetings when required to formalize certain decisions.
Facilitate the preparation of corporate documentation including:
Resolutions and notices which need to be passed
Minutes from general meetings and board meetings
Articles of association
Powers of Attorney
Facilitate and attend board meetings and general meetings, where required.

About You
Bachelor’s degree with Paralegal Certification and/or bachelor's degree in legal studies with a Paralegal Concentration.
5 to 10 years in corporate governance preferably towards Middle East and African subsidiaries of multinational organisation.
International experience.
Ability to proactively conduct documentation processes.
Excellent communication skills – both oral and written.
Strong organisational and time management skills.
Ability to juggle multiple matters and prioritize them accordingly.
