They’re looking for a Board Affairs & Corporate Governance Manager — a sharp, structured, and solutions-oriented professional who can be the right hand to the Head of Legal & Corporate Governance, and a strategic enabler for the Board and its Committees. You’ll ensure every boardroom interaction is seamless, compliant, and value-adding — with governance processes that are more than box-ticking.


This is a 3-month contract role with the possibility of extension. Ideal for someone ready to step in and deliver immediate impact — with the flexibility to evolve into a longer-term opportunity.


Who We’re Looking For


Youre not just organized — youre meticulous. You live for process, precision, and purpose. You understand the nuances of UAE regulatory frameworks, thrive in high-stakes environments, and have no problem handling sensitive communications with executive leadership and external stakeholders alike.


You’ve operated within a UAE financial institution, understand CBUAE corporate governance regulations and standards, and bring practical experience across board and committee support, regulatory reporting, governance frameworks, and board secretary functions. You know what it means to support a board — not just by sending agendas and taking minutes, but by helping shape how governance functions at its core. You connect the dots between policies, people, and process — and you know that true governance is proactive, not reactive.


What Youll Be Doing


  • Lead the orchestration of Board & Committee Meetings — from agenda planning, coordination, logistics, and quorum tracking to drafting, circulating, and filing board minutes and resolutions.
  • Be the compliance conscience of the board — monitoring legal and regulatory updates, maintaining disclosures, and aligning operations with local governance codes and internal bylaws.
  • Serve as the central link between board members, executive management, and regulatory bodies — managing information flows, correspondence, and board-related governance filings.
  • Maintain governance frameworks — keeping policies, mandates, registers of interests, and governance documents up-to-date, aligned, and audit-ready.
  • Coordinate key board activities — from induction and training of new members to performance assessments and disclosures for annual reporting.
  • Support governance transformation — working closely with the Head of Legal & Corporate Governance on strategic initiatives, policy design, and process reviews that drive maturity across the governance function.


What You Bring


  • 5+ years in corporate governance or board affairs, ideally within a UAE-based financial institution.
  • Strong working knowledge of CBUAE corporate governance regulations and standards for banks.
  • Proven ability in managing end-to-end board support, regulatory submissions, and governance reporting.
  • Experience setting up and maintaining governance frameworks, policies, and disclosures.
  • Deep understanding of board secretary functions, from meeting management to resolution tracking.
  • Exceptional attention to detail, organizational discipline, and discretion — with the ability to manage sensitive communications and high-level stakeholders.
  • Bachelors degree required (law preferred); Company secretary certifications (Hawkamah, DFM, etc.) are a strong plus.
