Job Purpose
Deputy Company Secretary (Associate VP) will act as the Governance champion and be accountable to SVP Legal & Company Secretary in performing the Company Secretarial role for the Group companies across c.20 jurisdictions in the Middle East and Africa regions where the Group has its entities
Act as the Company Secretary of Group companies and attend, conduct and take minutes of the Board, Committee and General Meetings, coordinating with external company secretaries wherever they have been appointed
Responsibilities

Perform Company Secretarial role for the Group companies, as required from time to time, across jurisdictions in Middle East and Africa
Arrange for Board and Committee meetings, review, finalise and issue agenda packs, attend and prepare accurate minutes for the Board and Committee meetings
Ensure maintenance of and where required, maintain statutory records for all group companies
Monitor corporate governance requirements across jurisdictions in Middle East and Africa
Provide support in merger and acquisition process as required
Act as the central internal point of contact for Group’s corporate information KYC requests
Collaborate with external advisors as and when such as need arise.
Perform in-depth review of contracts and comments from external parties during negotiations
Incorporating, managing companies and adherence to company law of countries in Middle East and Africa regions
Acting as a senior member of the team, providing contracting advice to the senior executives while having high level responsibilities including governance structures and mechanism, corporate conduct within regulatory environment, and regulatory requirements
Qualifications
Experience and Skills required
Education
A UK Solicitor from a common law jurisdiction. A Company Secretary qualification would be an added advantage
Experience
12-15 years of relevant post-qualification experience
Hands-on in Governance and company secretarial matters, experience in Middle East and Africa would be a great advantage
Excellent interpersonal and drafting skills
Experience in independent review and finalisation of contracts and agreements
Knowledge / Skills
Expert knowledge of corporate and commercial laws, including Intellectual property law
Excellent in task planning and organizing
Good knowledge of Legal procedures and provisions
Fluent in English. Knowledge of Arabic would be an added advantage
Ability and maturity to deal with external independent directors and senior team members within the Group and to independently organise and conduct Board and Committee meetings
Ability to efficiently handle multiple assignments across different jurisdictions
