Associate Counsel

Role Summary

We are seeking a commercially minded Associate Counsel to join the Botim legal team. This role is ideal for a common law-qualified lawyer with 3–5 years’ PQE who combines strong legal fundamentals with sound judgment and the ability to operate in a fast-paced, technology-driven environment.

As Associate Counsel, you will support a broad range of corporate and commercial matters across Botim’s fintech ecosystem, including payments, lending, partnerships, and platform services. You will work closely with business, product, and compliance teams to draft and negotiate key commercial agreements, advise on governance and regulatory matters, support strategic transactions, and proactively identify and mitigate legal risk.

This is a hands-on role suited to a lawyer who is comfortable working independently, thrives in a lean and motivated team, and is eager to contribute to the growth of a high-impact fintech platform.

Responsibilities

• Contracts: Draft, review and negotiate a range of commercial agreements, including service agreements, partnership agreements, vendor contracts and NDAs.  Manage negotiations based on deviation from play books.

• Corporate Governance: Provide legal advice on governance, compliance and regulatory matters and assist with CoSec work.

• Regulatory Compliance: Ensure adherence to applicable laws, regulations and internal policies.

• Transactions: Assist in due diligence, structuring, management and execution of corporate transactions.

• Risk Management: Identify legal risks and propose mitigation strategies.

• Dispute Resolution: Support in managing legal disputes, working with external counsel as needed.

• Employment Law: Advise on employment-related legal matters, including contracts and policies.

• Legal Research & Advisory: Conduct research and provide strategic legal guidance.
  

Requirements

• Common law-qualified lawyer with (about) 3-5 years PQE, some of which will be with a reputable law firm.

• Experience in commercial or corporate law (in-house experience is beneficial but not essential).

• Strong negotiation and contract drafting skills.

• Comfortable with Legal tech.

• Ability to work independently and collaborate effectively with teams.

• Excellent problem-solving, analytical and communication skills.
