Job Summary:
The Vice President – Legal oversees the legal affairs of the entire organization and leads the Legal Department in advising on matters related to corporate governance, healthcare law, contracts, litigation, compliance, mergers and acquisitions, intellectual property, and labour law. This role is responsible for developing legal policies, ensuring full compliance with UAE laws and healthcare regulations, managing legal risk, and representing the organization in dealings with government authorities and external counsel. The VP – Legal also plays a key role in supporting the Board of Directors and executive team on legal strategy and risk.
Responsibilities:
Lead the organization’s overall legal strategy to ensure alignment with business goals while safeguarding the organization from legal and regulatory risks.
Provide expert legal advice and guidance to the Board, CEO, and executive leadership team on strategic initiatives, contracts, litigation, and regulatory matters.
Oversee all legal affairs, including contract negotiations, corporate structuring, healthcare compliance, intellectual property, labor law, and litigation.
Develop, implement, and maintain legal policies, frameworks, and procedures that promote legal integrity, risk management, and corporate compliance.
Serve as the organizations key representative in complex legal matters involving regulators, governmental bodies, external legal counsel, and business partners.
Oversee and manage legal aspects of mergers, acquisitions, joint ventures, partnerships, and other strategic business transactions, including due diligence.
Guide and review the work of the legal team, setting departmental objectives, supervising case handling, and ensuring team development.
Monitor legal developments in the UAE and internationally that impact healthcare, corporate governance, digital transformation, and operational compliance.
Ensure the organization complies with all statutory and regulatory obligations in healthcare, corporate, labor, and data protection laws.
Mitigate legal risk by proactively identifying potential issues and implementing appropriate preventative measures and controls.
Advise internal departments (HR, Finance, IT, Operations, etc.) on day-to-day legal matters, dispute resolution, and contractual obligations.
Ensure the proper management of corporate records, licenses, intellectual property, trademarks, and legal filings.
Prepare and review high-level legal reports, board presentations, and documentation related to governance, compliance, and litigation.
Build strong relationships with government entities, healthcare regulators, and industry associations to promote legal and operational alignment.
Foster a culture of ethical behavior, legal awareness, and compliance throughout the organization.
Education and Certification:
Bachelor’s degree in Law (LLB) from a recognized university is mandatory.
Master’s degree in Law (LLM) or MBA with legal specialization is highly desirable.
Licensed to practice law in the UAE or home jurisdiction.
Knowledge and Skills:
In-depth knowledge of UAE and international legal frameworks relevant to healthcare, corporate law, labor law, and data privacy.
Proven ability to develop and execute legal strategy at the organizational level.
Exceptional skills in legal analysis, drafting, negotiation, and litigation management.
Strong leadership, communication, and stakeholder engagement skills.
Knowledge of corporate governance principles and experience advising executive leadership and board members.
Ability to translate complex legal concepts into practical advice for non-legal audiences.
Sound understanding of healthcare-specific regulations and licensing requirements.
Expertise in managing external counsel, legal budgets, and litigation portfolios.
Ability to handle high-pressure situations with discretion and strategic thinking.
Technological fluency in legal systems, document management, and compliance tools.
