Role Description

Mission

▪ Provide assistance and advice to the Saipem functions, the Business Units and Operating Companies regarding any legal aspect impacting on the life of the Company, the prevention and settlement of litigations.

▪ Manage and coordinate (at headquarter/site Company level) the provisions of assistance and advice related to the prevention and settlement of disputes.

Tasks

▪ Assist the Business Units regarding legal issues associated with the drawing up of negotiation documents and the settlement of disputes.

▪ Assist the Company in suits pertaining to its activities, in compliance with defined Saipe m criteria and, where necessary, seeking external legal advice.

▪ Research laws, investigate facts and prepare documents to support the legal activities:

• Research and analyse the sources of statutory law, final verdicts, legal ar ticles, treaties, constitutions and codes of law, etc.
• Assist in arbitration by handling the appointed lawyers and the parties in dispute.
• Assist in disputes before judicial authorities by handling relations with the Company lawyer and the parties in dispute.
• Prepare legal documents.
  
  

▪ Provide legal opinions relevant to any interest aspect for the Business Units and the Operating Companies.

▪ Assist the relevant corporate functions in Mergering and Acquisitions activities such as drafting and negotiating share purchase agreements.

▪ Manage and coordinate (at headquarter/site Company level) legal activities by guaranteeing appropriate links with the relative functions/ Business Units.

▪ Manage and coordinate in compliance with Saipem criteria, the legal firms which defend and represent the Corporate and the Operating Companies in Italy and abroad in front of the Courts.

▪ Manage all the legal activities relevant to the protection of patents and brands.

▪ Manage and coordinate the Saipem and its Operating Companies in the proceeding pertaining to activities in Italy and abroad, in compliance with defined Saipem criteria, and where necessary, seeking external legal advice.

▪ Assist the Company (at Corporate/Operating Company level) in any issue related to compliance and administrative responsibility of Companies.
