Overview

We are seeking a talented senior corporate lawyer to join the G42 group level in-house team as a Legal Director. Your role will focus predominantly on strategic M&A, investments, joint ventures and corporate advisory work.

G42 has an active and extensive partnership network, ranging from strategic collaborations and partnership projects to joint ventures and direct investment, greatly expanding the role and scope of its legal division.

Responsibilities

  • Manage the end-to-end process of corporate transactions including drafting, reviewing and negotiating a wide range of agreements, such as shareholders’/joint venture agreements and SPAs.
  • Lead and manage due diligence investigations, review due diligence reports prepared by external counsel and, where appropriate, work with junior members of the team to prepare internal high-level due diligence summaries.
  • Conduct research to provide sound legal advice on a broad range of corporate matters.
  • Collaborate closely with internal stakeholders to understand and cater to the group’s general legal needs.
  • Promote legal, compliance and risk management best practice throughout the group.
  • Provide support in relation to corporate governance matters and company secretarial duties.

Qualifications

  • Qualified lawyer in a common law jurisdiction or the US, with a preference for candidates that are qualified under the laws of England and Wales.
  • Minimum of 8 years of post-qualification, private practice experience in corporate law, specifically M&A, investments, joint ventures and corporate advisory work.
  • Excellent knowledge of transaction processes, commercial acumen and a robust understanding of the law.
  • Strong knowledge of the laws of England and Wales, ADGM law and UAE companies law.
  • Exceptional verbal and written communication skills in English.
  • Ability to be an effective team player and collaborate with multi-disciplinary teams.
  • Ability to work in a fast-paced environment, managing multiple projects simultaneously.
  • Excellent supervisory skills, with experience in mentoring and developing junior lawyers.
