The Governance Manager is responsible for supporting the General Counsel in the discharge of the Board Secretary function and the effective administration of GCGRA's corporate governance framework. The role coordinates Board and Committee activities, ensures governance compliance, maintains corporate records and governance documentation, and monitors the implementation of Board decisions and departmental action items. The Governance Manager also provides executive, governance, and legal coordination support through legal research, document management, preparation of reports and briefing materials, stakeholder engagement, and the management of the General Counsel's office and related administrative functions.

Responsibilities

  • Support the General Counsel in fulfilling the Board Secretary responsibilities.
  • Coordinate Board and Committee meetings, including agendas, papers, presentations, and meeting logistics.
  • Prepare and maintain accurate Board and Committee minutes, resolutions, action logs, and governance records.
  • Monitor the implementation of Board and Committee decisions and follow up on outstanding actions.
  • Maintain governance policies, Board documentation, statutory registers, and corporate records in accordance with applicable requirements.
  • Ensure governance processes comply with applicable legislation, regulations, and internal policies.
  • Support the development, implementation, and continuous improvement of governance frameworks, policies, and procedures.
  • Conduct legal and regulatory research and prepare summaries, briefings, and reports as required.
  • Draft, review, and proofread governance, legal, and corporate documentation in English and Arabic.
  • Support the management of legal documentation, investigations, regulatory submissions, and confidential records.
  • Monitor governance, legal, and regulatory deadlines and support the timely completion of related deliverables.
  • Manage the General Counsel’s calendar, meetings, travel arrangements, and administrative requirements, ensuring effective prioritization of commitments and deadlines.
  • Coordinate internal and external communications on behalf of the General Counsel, including correspondence, meeting scheduling, and stakeholder follow-up.
  • Track and monitor the progress of key projects, assignments, and action items across the Legal, Compliance, and Governance functions, and provide regular status updates to the General Counsel.
  • Prepare briefing materials, presentations, reports, talking points, and executive correspondence for meetings with senior management, Board members, regulators, and external stakeholders.
  • Maintain an effective document management and filing system for legal, governance, and corporate records, ensuring accuracy, accessibility, retention, and confidentiality.
  • Organize and coordinate executive meetings, workshops, and stakeholder engagements, including preparation of materials, logistics, and follow-up actions.
  • Act as a central coordination point for the Legal, Compliance, and Governance functions, ensuring timely circulation of documents, collection of inputs, and follow-up on deliverables.
  • Maintain confidentiality and safeguard sensitive information, Board materials, regulatory matters, and executive communications at all times.
  • Assist in the development and implementation of departmental policies, procedures, templates, and administrative processes to enhance operational efficiency.
  • Support the preparation and coordination of Board and Committee annual work plans, governance calendars, and periodic governance reports.

Qualifications

  • Bachelor's degree in Law, Corporate Governance, Business Administration, or a related field.
  • Minimum 6-9 years' experience in corporate governance, Board Secretariat, legal operations, executive experience, document processing, or a related role within a regulated environment.
  • Strong knowledge of corporate governance principles and UAE regulatory frameworks.
  • Excellent drafting, research, organisational, and stakeholder management skills.
  • Excellent written and verbal communication skills in English; Arabic is desirable.
  • High level of professionalism, integrity, and confidentiality.
