About The Role

AIQ is looking for a General Counsel to plan, lead and direct the Legal, Governance & Compliance Function, providing expert advice to AIQ on all legal, governance & compliance matters to mitigate risks and resolve disputes, provide expert advice and ensuring AIQ stakeholders abide with applicable laws and regulations as well as AIQ internal policies.

Responsibilities

• Lead and direct the development of the Legal, Governance, Compliance and ESG strategies in line with AIQ’s strategy, ensuring alignment and integration with other interfacing function strategies across AIQ (including provision of strategic advice for AIQ vision, mission and objectives, to meet UAE National Strategies for AI, Sustainability and Net Zero.
• Develop and implement AIQ’s delegating authority.
• Implement and enhance AIQ governance model and framework and manage AIQ governance practices including policies & procedure, ESG and ISO certification.
• Establish and implement AIQ Legal, Governance and Compliance policies and procedures including code of conduct, and assume responsibility for raising awareness and ensure proper compliance of these rule/codes of conduct.
• Hold the responsibility of AIQ Board Secretary and manage the Board secretarial function., establish and manage AIQ Board and Management committees and ensure necessary resolutions and approvals occur in a timely manner.
• Negotiate key transactions and manage legal risks including offering expert legal advice to senior management (including in respect of advanced technologies including AI, cloud, at-the-edge and on-prem software, SaaS, PaaS, licensing, data).
• Oversee and advise on IP protection and registration and manage AIQ IP portfolios.
• Keep up to date with regulatory policies and laws, be aware of legislative requirements around tech law and keep AIQ up to date with regulatory requirements including developing training programs for applicable stakeholders.
• Manage AIQ Compliance activities including ensure that AIQ acts in compliance with relevant laws and regulations by providing effective support to all divisions and ensuring the lawful administration of the organization’s activities.
• Distribute and allocate day-to-day activities to direct team members and supervise execution and delivery of tasks and assignments by providing on-the-job guidance and support.
• Negotiate key transactions and manage legal risks.
• Manage relationships with shareholders, Board of Directors, and key stakeholders including meeting reporting requirements.
• Manage LGC budget and related processes.
  
  

• Master’s Degree in Law or related degree
• Min. 10 years of experience required
• Experience in Technology Law (preferred)
  
  

• Proficient leadership and communication skills
• Ability to proactively prioritize workloads, working both independently and as part of a team
• Advanced knowledge of country legal processes and regulatory bodies
• Advanced knowledge of technology law, intellectual property and trademarks
