Position Overview

The Transactional / Commercial Counsel is a senior, Philippines-based legal role responsible for owning and executing the majority of Companys day-to-day commercial and contractual legal work. This role is designed for a highly capable Philippine-qualified attorney who can operate with minimal supervision, partner closely with U.S.-based leadership, and move quickly in a high-growth, operationally intense environment.

This is not a policy-only or advisory role. You will draft, negotiate, redline, and close contracts that directly impact revenue, vendors, partners, and operations across the U.S., Mexico, and the Philippines.

Responsibilities

Draft, review, and negotiate a wide range of commercial agreements, including:

– Master Services Agreements (MSAs)

– Statements of Work (SOWs)

– Service Level Agreements (SLAs)

– SaaS terms and licensing agreements

– Channel, reseller, and partner agreements

– NDAs and confidentiality agreements

– Vendor, supplier, and technology contracts

• Support IP-related matters including licensing, ownership provisions, and commercial IP protection (non-patent)
• Advise on EOR / EOR-style employment and contractor frameworks, particularly as they apply to
  
  

international operations

• Identify legal risk in commercial transactions and propose practical, business-forward solutions
• Build, maintain, and continuously improve contract templates, clause libraries, and negotiation playbooks
• Partner closely with executive leadership, sales, operations, and finance teams to support deal velocity
• Coordinate with U.S. outside counsel when required for jurisdiction-specific matters
• Track contract status, obligations, and renewal terms in coordination with internal teams
• Support special projects and strategic initiatives as needed
  
  

Qualifications

• Bar-qualified attorney in the Philippines
• 7+ years of experience in commercial / transactional law
• Deep expertise in contract drafting and negotiation
• Strong English written and verbal communication skills
• Comfort working independently with limited oversight
• Willingness to work night shift PHT to align with U.S. business hours

Pay: Php 130,000 - Php 150,000 per month
