Schedule: 9:00 PM - 1:00 AM PH Time
Salary: P400 - P500 per hour
Position Summary
We are seeking an experienced Paralegal with a strong background in contract law. The ideal candidate supports business purchase and sale transactions from LOI through closing, including drafting and reviewing contracts, supporting negotiations, managing due diligence, and preparing engagement letters. This role requires a JD and deep experience in transactional and contract work, with the ability to leverage legal AI tools to accelerate drafting and review while maintaining quality and ethics.
Key Responsibilities
M&A Transaction Support
Assist with all stages of M&A transactions (asset purchases, stock purchases, membership interest transfers, and related restructurings).
Prepare and manage due diligence checklists and virtual data rooms.
Review and organize corporate documents, contracts, and financial information relevant to the transaction.
Track open items, consents, and deliverables, and maintain closing checklists.
Assist with drafting and assembling schedules and exhibits to purchase agreements.
Help prepare and organize closing binders and post-closing documentation.
Contract Drafting, Review, and Negotiation Support
Draft, revise, and redline a variety of business contracts, including:
NDAs
Letters of intent (LOIs)
Asset purchase agreements
Membership interest or stock purchase agreements
Vendor, service, and independent contractor agreements
Assignments, consents, and ancillary documents
Support attorneys in contract negotiations by:
Preparing comparison documents and redline summaries
Identifying key commercial and legal terms that deviate from standard positions
Proposing suggested language or alternative clauses based on attorney guidance
Conduct issue spotting on contract provisions related to representations and warranties, covenants, indemnification, purchase price adjustments, and closing conditions.
Legal AI Tools and Prompting
Use legal AI tools for contract review, clause comparison, draft generation, and document summarization, always under attorney supervision.
Draft clear, structured prompts that give AI tools the context, constraints, and objectives needed to produce usable drafts.
Summarize lengthy contracts and diligence materials into concise, issue-focused notes using AI assistance.
Treat all AI outputs as drafts, ensuring attorney review before anything is provided to clients or counterparties.
Follow confidentiality, data security, and privilege guidelines when using AI tools.
Research and Compliance Support
Perform targeted legal and factual research on issues related to M&A and contract law as directed by attorneys.
Assist with basic corporate governance tasks related to transactions, including minutes, consents, officer certificates, and organizational charts.
Maintain working familiarity with commonly used M&A and contract structures so drafting remains consistent and accurate.
Required Qualifications
Juris Doctor (JD) from an accredited law school.
Minimum of 4+ years of experience working in M&A, corporate, or business transactions, with substantial contract law experience.
Demonstrated ability to:
Draft and revise transactional contracts using templates and clause libraries
Read and interpret contract terms, spot issues, and flag them for attorney review
Support negotiations through clear redlines, summaries, and comparison documents
Hands-on experience using legal tech and AI tools for contract review, document comparison, summarization, and draft generation.
Strong written and spoken English, with the ability to prepare clear and concise legal correspondence and work product.
High level of organization, reliability, and attention to detail.
Experience with U.S. transactional practice.
Familiarity with:
Contract lifecycle management tools
Virtual data rooms and secure file-sharing systems
Practice management or document management platforms
Key Competencies
Strong analytical skills and contract issue spotting.
Ability to work independently with minimal supervision while knowing when to escalate questions.
Effective task management and prioritization across multiple deals, deadlines, and time zones.
Comfort with learning and adapting to new software and AI tools.
Discretion and professionalism in handling confidential and sensitive information.
