Organizational Setting and Reporting Relationship

The position is assigned within Office of the General Counsel (OGC). OGC is responsible in protecting the legal interests of ADB and advises on methods to limit ADBs risk exposure appropriately. It prepares or reviews documents which create, define, modify or limit the legal rights or obligations of ADB, including loan contracts, agreements and registration statements in relation thereto, and other contractual documents.

You will be based at our Headquarters in Manila, Philippines.

You will report to the designated Technical International Staff and/or Officer (as applicable).

The position title on appointment is "Legal Officer".

Your Role

As Legal Officer, you will provide legal and technical support to counsel with respect to ADBs finance and funds operations.

You Will

  • Finance Operations
  • Support counsel in drafting, reviewing, and finalizing legal documents related to ADBs bond issuances, derivatives transactions, and regulatory approvals.
  • Review agreements and documents from the Treasury Department and other relevant units, assisting in negotiations and finalization.
  • Monitor global regulatory changes affecting ADBs Treasury operations and provide legal guidance on compliance with ADBs Charter, policies, and applicable laws.
  • Funds Operations
  • Support counsel in legal matters related to cofinancing partnerships, knowledge partnerships, and ADBs involvement in global and regional funding initiatives.
  • Review and assist in negotiating agreements such as MOUs, cooperation arrangements, and affiliation agreements from departments including SPD, CCSD, and SD.
  • Draft and finalize agreements, documents, and communications related to fund operations.
  • Legal Research and Support
  • Conduct legal research and assist counsels in responding to internal and external inquiries on global financial regulatory reforms, policy changes, and jurisdiction-specific legal matters.
  • Others
  • Assist in training and mentoring new staff and consultants, support special projects, and perform non-project-specific tasks and additional duties as assigned by the supervisor.

You Will Need

  • Bachelors degree in law and member of the Philippine Bar, or its equivalent work experience in a multilateral financial institution, preferably with advanced training.
  • At least 8 years of relevant professional experience, with in-depth knowledge in documenting bond and swap issuances and derivative transactions.
  • Strong analytical skills with keen attention to detail, ability to work in multi-cultural, multi-skilled teams, and inspire trust, confidence, and a culture of honesty and openness.
  • Excellent written and verbal communication skills in English.

Additional Information

This appointment is open to internal and external applicants.

This is a fixed-term appointment for an initial fixed period of 3 years. At the end of the initial period, this appointment may, at the option of ADB, be extended once for up to 2 years, converted to a regular appointment, or ended on its expiration date. This decision will be made in the overall interest of ADB that: (a) it will require Staffs particular blend of skills and experience in the foreseeable future; and (b) Staffs performance is satisfactory and they are suitable for further employment.
