Job Summary
The main purpose of the role is to support strong corporate governance and ensure the company’s compliance with applicable corporate and regulatory requirements, as well as maintaining statutory records, organizing and documenting board and shareholder meetings, advising directors on governance obligations, facilitating regulatory filings and disclosures, and acting as a liaison between the board, management, shareholders, and regulators.
Job Description
To handle the corporate housekeeping requirements for all the ib vogt PH companies, as well as other ib vogt APAC companies, including but not limited to the preparation of minutes, Secretary’s Certificates, board resolutions, GIS, and regulatory compliance requirements with the applicable government agencies, particularly SEC, BIR, and local government.
To handle preparation of documents to secure the annual business permits, licenses, certifications and other required documents for development of the projects.
To take charge in the administration and filing of all the legal files, documents, invoices of the PH team and CorpSecAPAC team in accordance with naming conventions, as necessary, including but not limited to uploading the important files onto data rooms.
To assist any other assigned legal work or task in relation to the companies and projects of the PH team as may be assigned by Legal Counsel.
To assist the CorpSecAPAC team to fix appointments with the notary public in Philippines, Malaysia and Singapore.
Corporate Reporting to the company headquarter’s Legal Team (Berlin)
Qualifications
Requirements of This Role
Bachelors or Masters Degree preferably in Legal Management, Law or related field.
1-3 years experience in corporate secretarial work
Familiarity with SEC and other government transactions
Familiarity with the Revised Corporation Code
Prior knowledge or experience in drafting Minutes of the Meeting, Letters or Memoranda
Ability to liaise with other departments and JV partners
Preferably prior experience working with Board of Directors
