Role Overview
As a Contracts Manager at Instructure, Inc., you will be responsible for managing the full lifecycle of contracts, ensuring legal compliance, mitigating risks, and supporting the companys business objectives. You will play a crucial role in negotiating, drafting, and reviewing various types of agreements to facilitate smooth operations and protect Instructures interests.
What You Will Be Doing
- Draft, review, negotiate, and finalize a wide range of commercial contracts, including sales agreements, vendor contracts, partnership agreements, and non-disclosure agreements, in collaboration with legal counsel and business stakeholders.
- Manage the contract lifecycle from initiation to execution and renewal, utilizing contract management systems and best practices.
- Ensure all contracts comply with company policies, legal requirements, and industry regulations.
- Identify and mitigate contractual risks, proposing solutions and alternative language to protect Instructures interests.
- Serve as a primary point of contact for internal teams (Sales, Finance, Product, etc.) regarding contract-related inquiries and provide guidance on contractual terms and conditions.
- Develop and maintain contract templates, playbooks, and processes to improve efficiency and consistency.
- Monitor contract performance and compliance, addressing any discrepancies or issues that arise.
- Assist in the development and delivery of training to internal teams on contract processes and key terms.
- Maintain accurate and organized contract records and documentation.
- Participate in special projects and initiatives related to contract management and legal operations.
Job Qualifications
- Bachelors degree in Business Administration, Legal Studies, or a related field. A Juris Doctor (J.D.) degree is a plus.
- 3-5 years of experience in contracts management, legal operations, or a similar role, preferably within a technology or software company.
- Strong understanding of contract law, commercial terms and conditions, and legal principles.
- Proven experience drafting, negotiating, and reviewing a variety of complex commercial agreements.
- Excellent written and verbal communication skills with the ability to articulate complex legal concepts clearly to non-legal audiences.
- Exceptional attention to detail and organizational skills.
- Ability to manage multiple priorities, work independently, and meet deadlines in a fast-paced environment.
- Proficiency with contract lifecycle management (CLM) software and other relevant business tools (e.g., Salesforce).
- Strong analytical and problem-solving abilities.
- Ability to build strong relationships and collaborate effectively with diverse teams.
