The Legal Manager - Asia Beverage role will provide legal advice and counseling on a wide variety of commercial and corporate matters including bottler and distribution relationships and agreements, commercial disputes, sales and marketing agreements and issues, regulatory matters, import/export, and supply chain matters. The position will also be responsible for business updates; case management; document management; legal team operations, capability & delivering various trainings such as Marketing, trainings to various commercial teams.
Responsibilities
What you will be responsible for:
Provide consultation and contract support including the drafting, review, and negotiation contracts, including agreements, amendments, letters of intent, MOU etc.
marketing related contracts e.g. agency services agreements, talent endorsement contracts, marketing collaboration agreements, sponsorships, design agreements
authorization letters (i.e. export to new territories, new SKUs or flavour variants) to bottlers, unilateral support letters, distributor agreements
local partners for collaboration projects (co-branding) e.g. licensing agreement
Ensure that contract implementation are in compliance with applicable laws and regulations; work with business and other functions to align contracts with company policies and governance protocols and controls.
Provide legal support to sales and promotion related initiatives, which may include draft or review sales and promotion related contracts, draft or review promotion rules
Advise the business on legal liabilities and risks, including reviewing and approving advertising & marketing materials, press releases, and other consumer-facing materials.
Undertaking legal research and legal risk analysis to support and advise the respective businesses / functions for laws related to business operation, including EPR regulations, employment/labor law, data privacy, anti-trust and corporate governance.
Manage and work with the external counsel on litigation including specific legal related matters
Prepare and conduct training for internal staff regarding important legal topics like advertising and marketing.
Assist implementation of company’s corporate and global policies where applicable and provide support to all other functions in relation to legal documentation required for the implementation of company policies and processes
undertake initiatives designed to enhance the capability of the Law Department;
Other ad hoc tasks/responsibilities/support as assigned by Legal Sr Manager
Qualifications
What you need to have:
Law Degree from a reputable university; admitted to practice law with current legal practioner’s certificate.
Preferred to have 8 to 10 years of experience of which a minimum 4-6 years as an in-house lawyer, experience in FMCG will be ideal.
Experience in drafting, reviewing and negotiating corporate contracts and dealing with suppliers, customers and different stakeholders.
Superior analytical ability and meticulous attention to detail
Solid experience in corporate commercial legal work with a good understanding of government processes & regulatory environment and how it applies to the business. Experience in litigation and litigation strategy a plus
An ability to work in complex international environment, and willingness to work with different cultures and with an open and tolerant mind
Fluency in English both spoken & written.
Strong business acumen and ability to think strategically and exercise sound judgment legal solution
Ability analyze regulatory and commercial requirement, assess and manage legal risks and provide practical solutions, recommendation to the business
Strong sense of ownership and ability to analyze or recognize gap or area of improvement on work process beyond boundary of legal function responsibility
