The Contracts & Compliance Manager acts as the primary subject matter expert responsible for the structural integrity of the Group’s agreements and its adherence to the Philippine regulatory landscape. This role provides the technical legal research, contract negotiation, and risk mitigation strategies necessary to protect the company's interests. By acting as the key interface between the business and regulatory bodies, this role ensures that every transaction is legally sound and that all affiliated entities maintain a high standard of corporate housekeeping.
Duties & Responsibilities
Draft and negotiate complex commercial agreements, corporate resolutions, and formal correspondence to ensure the Group’s interests are robustly protected
Provide strategic advice to management on the legal risks and liabilities associated with proposed business transactions and operational decisions
Govern corporate housekeeping and regulatory compliance for all affiliated companies to maintain "good standing" and meet all statutory requirements
Identify compliance gaps within existing business workflows and develop recommendations to improve company-wide legal standards and internal protocols
Monitor the lifecycle of all legal agreements, focusing on adherence to compliance standards and the timely execution of contract obligations
Develop and facilitate internal training plans to increase compliance-related competencies and implement new regulatory standards across various departments
Conduct in-depth legal research on evolving laws and regulations to provide proactive guidance on any potential negative effects on the Group’s transactions
Keep abreast of all new and existing laws, rules, and regulations applicable to the Group and its affiliated companies, and ensure timely dissemination of relevant updates to stakeholders
Review, draft, and negotiate non-standard, complex, or bespoke contracts and agreements to ensure legal soundness and adequate risk protection for the Group
Perform all other duties, tasks, and responsibilities as may be implied, incidental, or necessary to effectively fulfill the role of Contracts & Compliance Manager
Qualifications
Juris Doctor (JD) or Bachelor of Laws (LLB) from a reputable law school and a member in good standing of the Integrated Bar of the Philippines
2-3 years of post-Bar experience in corporate law, contract management, or in-house counsel roles, preferably within the telecommunications industry
Advanced proficiency in drafting and governing complex commercial contracts with a firm grasp of laws relating to commerce, obligations, and sales
Proven track record of successfully transacting with and navigating the requirements of Philippine regulatory bodies (SEC, NTC, BIR, PEZA, etc.)
Strong business acumen and the ability to exercise sound judgment to balance risk mitigation with commercial growth objectives
Excellent critical thinking skills with a proven ability to research complex legal issues and communicate their implications to non-legal stakeholders
Exceptional attention to detail and a disciplined approach to managing contract lifecycles and corporate records
