Job Description
The Specialist II has advanced knowledge within designated Information Technology (IT) area of responsibility that is applied to broad and diverse assignments and associated requirements. This role plans and coordinates activities related to the design, development, implementation and integration of IT solutions. Specialist II analyzes, evaluates, and recommends innovative solutions. Specialist II applies proven communication, analytical, and problem-solving skills to help identify, communicate, and resolve issues to maximize the benefit of IT systems. Individuals in this position typically provide expertise and planning to several clients by overseeing, coordinating, and implementing medium-to-complex IT projects. This position may lead and guide other IT staff.
Principal Job Duties & Responsibilities
- Drafting Software, Hardware, Support, Consulting, Maintenance, SaaS Agreements, and other commercial documents
- Drafting, reviewing and negotiating a variety of agreements involving complex data protection, intellectual property, security, and risk management issues

- Assisting in creating a scalable contract management system and related processes
- Coordinating with Global Legal for any outstanding and potential legal issues
- Work side by side with Procurement Team and Accounts Payable Team for payment and deliverables
- Analyze and identify areas of opportunity for vendor consolidation, service improvements, and cost saving
- Specialties: Contract management, negotiation, software/hardware agreements, hosting agreements
Basic Job Requirements
- Accredited four (4) year degree or global equivalent in applicable field of study and six (6) years* of work-related experience or a combination of education and directly related experience equal to ten (10) years* if non-degreed; some locations may have additional or different qualifications in order to comply with local requirements
- Ability to communicate effectively with audiences that include but are not limited to management, coworkers, clients, vendors, contractors, and visitors
- Job related technical knowledge necessary to complete the job
- Ability to learn and apply knowledge of applicable local, state/province, and federal/national statutes and guidelines
- Ability to attend to detail and work in a time-conscious and time-effective manner

- Various levels of environmental conditions including but not limited to project worksites and vendor/client facilities which may have temporary office space, moving mechanical parts and vibration; high, precarious places; fumes or airborne particles and extreme temperatures and high noise levels
Function Specific Requirements - Spec II - General Counsel
- Contract Abstraction: Reviewing contracts to capture important contractual clauses as per client requirements.
- Legal research: Conducted statute-based research, and case-based research based on the facts of the clients case and presenting it in the client desired format.
- Legal Drafting: Drafting and reviewing contracts related to purchase agreements, non-disclosure agreements and service agreements.
- Title Searches: conducted searches to look for outstanding encumbrances and title deficiencies as well as to confirm the owners name and state of land tenure.
