The role involves supporting the Company Secretary’s office in managing statutory compliance, Board governance, shareholder servicing, and regulatory filings. The position requires meticulous attention to detail, deep knowledge of corporate laws, and the ability to execute multiple compliance activities within strict regulatory timelines.
Duties And Responsibilities
Board, Committee & General Meetings:
Supporting in preparation notice, Agendas, Notes, and Minutes for Board, Committee & General Meetings.
Annual Report:
Assisting in bench marking various company’s reports and collection of information for preparation of Annual report
SEBI, MCA, IEPF and RBI Filings:
Supporting in preparation of quarterly, half-yearly, and annual filings with Stock Exchanges (BSE/NSE) under SEBI.
Supporting in preparation of forms, returns, and documents with the Ministry of Corporate Affairs (MCA) and IEPF.
Assisting in the timely submission of RBI returns applicable to NBFCs.
Statutory Registers & Records:
Updating and maintaining statutory registers as mandated by the Companies Act, 2013.
Corporate Actions, Insider Trading & ESOPs
Assisting in carrying out corporate actions in coordination with depositories such as NSDL and CDSL.
Supporting in documents preparation for listing related and ongoing compliance requirements for Non Convertible Debentures (NCDs) and Commercial Papers.
Assisting in the addition and removal of Designated Persons on the ESSCOM portal and with the depositories, as part of insider trading compliance
Investor Services & Liaison
Assisting in the daily monitoring of investor mails, updating trackers regularly, and coordinating with the Registrar and Share Transfer Agent (RTA) for timely resolution of queries.
Supporting the preparation of DIR slips and related documentation for transfer of shares.
Reviewing documents submitted by claimants for IEPF-related requests as per IEPF Rules and the internal checklist.
Updating website
Co-ordinating with the marketing team to ensure timely updates to the Investor section of the company’s website, in line with mandatory disclosure requirements under the Companies Act and SEBI LODR.
Required Qualifications And Experience
Education: Qualified Company Secretary
Experience: 1–3 years of post-qualification experience in a corporate secretarial function.
Industry Preference: Prior experience in a listed company.
