The company designs and manufactures tractors, engines, implements and selected harvesting or precision-farming equipment for India and export markets. It operates multiple plants, a broad rural dealer and service network and captive or partner financing interfaces. Revenue is in the broad ₹30,000–45,000 crore range, but demand and mix remain exposed to rainfall, crop economics, rural liquidity, subsidy design, regulation and regional inventory.

Calibrated market hint: A strong domestic tractor position, growing implements portfolio, engineering exports and connected-machine agenda may suggest several leading industrial groups. Brand colour, horsepower ranking and promoter identity are withheld.
Farm machinery is moving from mechanical durability toward connected, software-enabled and increasingly autonomous systems, while the end user may have limited training, variable connectivity and thin financial resilience. The Board wants one director to connect physical safety, dealer behaviour, rural credit, technology claims and inventory truth before growth problems surface as injuries, defaults or channel distress.
Strategic charter — first 18–24 months

1. Set a product-safety governance system spanning design hazard analysis, guarding, roll-over protection, braking, human factors, software change, field incidents, service bulletins and recall decisions.
2. Require leading indicators for near misses, warranty clusters, repeat repair, counterfeit parts, technician competence and dealer closure quality—not only reported fatalities and warranty cost.
3. Govern connected and autonomous features through safe operating domains, geofencing, sensor degradation, override, cybersecurity, data consent, update integrity and explainable customer instructions.
4. Establish dealer-inventory truth by model and age; distinguish retail registration, financing disbursement and physical end-customer delivery; prevent quarter-end loading and concealed support.
5. Review rural-finance interfaces for affordability, residual assumptions, repossession conduct, dealer incentives, insurance bundling and vulnerable-borrower outcomes.
6. Re-underwrite capacity and product investment across rainfall, reservoir, crop-price, labour-availability, replacement-cycle and regional-demand scenarios.
7. Govern export growth through homologation, emissions, product-liability, sanctions, distributor solvency, parts availability and service capability—not dispatch revenue alone.
8. Evaluate electrification and alternative powertrains against duty cycle, charging, battery safety, farm economics, resale value and grid reality.
9. Protect critical suppliers and tooling through dual-source design, quality-at-source, solvency signals, commodity exposure and ethical labour controls.
10. Make farmer productivity outcomes measurable so “precision agriculture” claims are grounded in yield, input, uptime and total-cost evidence.

Decisions expected to reach the Board

• Whether to launch an assisted-driving feature when controlled tests pass but misuse and service readiness remain uncertain.
• Whether plant capacity should proceed before dealer stocks and retail demand validate the forecast.
• Whether a recurring field failure requires a voluntary recall, service campaign or monitored containment.
• Whether dealer support preserves a strategic rural network or merely delays recognition of weak economics.

Candidate evidence sought

Essential: Former agricultural-equipment, off-highway, automotive, industrial-product or safety-critical technology CEO/COO/engineering leader; Board-level product-safety and recall judgement; understanding of channel inventory, field service and customer credit; comfort testing software and autonomy claims against real operating conditions.

Differentiators: agronomy or rural-market experience; global homologation/product liability; captive-finance governance; connected-machine cybersecurity; transformation of a dealer and service-quality system.

Independence, eligibility and conflict hard gates

Active IICA Databank registration and documented proficiency-test/exemption status are mandatory. Statutory independence and SEBI eligibility checks apply. Conflicts include competing OEMs, key component and software suppliers, dealers, rural lenders, major distributors, government procurement advisers, testing/homologation bodies and professional firms. Former industry roles require cooling-off and continuing-benefit review.

Candidate-side diligence before consent

The candidate will examine incident and warranty data, open recalls and product-liability cases, dealer ageing and support, finance delinquencies, software architecture and critical vendors, capacity approvals, homologation exposures, whistle-blower themes and D&O terms. Field visits will include direct conversations with farmers, technicians and dealers selected independently of sales management.
