Job Description

Position Overview:

We are seeking a qualified and proactive Company Secretary with 2 to 4 years of post-qualification experience to support our corporate governance, compliance, and secretarial functions. The ideal candidate will assist in ensuring statutory compliance, maintaining corporate records, Various MIS reporting controllership work and facilitating effective communication between the board, management, and stakeholders.

Key Responsibilities:

Corporate Governance & Compliance:

  • Ensure compliance with the Companies Act, 2013, and other applicable laws.
  • Assist in the preparation and filing of statutory documents with the Registrar of Companies (RoC), Ministry of Corporate Affairs (MCA), and other regulatory bodies.
  • Monitor and report on changes in corporate laws and regulations affecting the company.
  • Assist the team in MIS and other controllership work.

Board & Shareholder Meetings:

  • Coordinate and organize Board Meetings, Committee Meetings, and General Meetings (AGM/EGM).
  • Prepare agendas, notices, resolutions, and minutes for meetings.
  • Maintain statutory registers and records, including minutes of meetings and resolutions.

Corporate Records & Filings:

  • Ensure timely filing of annual returns, financial statements, and other mandatory documents.
  • Maintain and update the company’s statutory records and registers.
  • Assist in the preparation of the Directors’ Report and other compliance-related documents.

Stakeholder Communication:

  • Act as a liaison between the company and its shareholders, directors, and regulatory authorities.
  • Address shareholder queries and concerns promptly and efficiently.
  • Assist in the preparation and dispatch of shareholder communications.

Qualifications:

  • Member of the Institute of Company Secretaries of India (ICSI).
  • 1 to 3 years of post-qualification experience in corporate secretarial and compliance functions.
  • Inter CA

Soft Skills:

  • Strong communication and interpersonal skills.
  • Attention to detail and ability to handle confidential information.
  • Ability to work independently and as part of a team.
  • Strong organizational and time-management skills.

Preferred Experience:

Experience in handling compliance of large private companies.

Experience in handling investor relations and shareholder communications.

Start up experience is added advantage.
