About the Role

This role owns the technology workstream across the full M&A lifecycle, from pre-deal diligence through post-deal integration or separation. The manager evaluates IT risks, value levers, and operating-model implications, then turns findings into clear roadmaps for action. The role partners with corporate and private equity clients, deal teams, and technical stakeholders to shape technology decisions that affect valuation, timing, risk, and post-close execution. Success depends on bringing structured thinking to complex environments, translating technical detail into executive recommendations, and driving disciplined delivery through integration management or separation management offices. The position also contributes to business development by helping shape proposals, sizing effort, defining scope, and identifying where additional technology advisory services can create value.


Key Responsibilities

  • Lead buy-side and sell-side technology due diligence by assessing applications, infrastructure, cloud, data, cybersecurity, and overall technology maturity to surface risks and value levers.
  • Build detailed diligence materials such as data requests, interview guides, architecture assessments, cost models, TSA schedules, and integration or separation roadmaps that enable client decisions.
  • Quantify IT cost transformation opportunities, synergies, hidden costs, and post-deal investments so leadership can understand the financial impact of technology choices.
  • Present findings and recommendations to senior technical and business stakeholders in a way that supports clear executive decision-making and deal prioritization.
  • Lead post-merger integration or carve-out separation programs by setting up the IMO or IT separation management office and managing delivery through Day 1 readiness.
  • Define the target IT operating model, governance structure, process design, and systems alignment needed to stabilize and scale the future state.
  • Track program execution through project plans, dashboards, risk and issue logs, resource plans, and other governance artifacts that keep workstreams on course.
  • Mentor junior team members and contribute to proposals, offering design, effort estimation, and cross-sell opportunities to expand client value.


Essential Skills & Technologies

  • Strong experience in IT due diligence, integration planning, and carve-out execution across complex M&A engagements, with the ability to connect technical findings to commercial outcomes.
  • Deep understanding of enterprise applications, cloud and data center infrastructure, data architecture, cybersecurity, vendor management, outsourcing/offshoring, and IT operating models.
  • Proven ability to design integration patterns, carve-out strategies, TSA structures, and technology roadmaps that reduce risk and accelerate Day 1 readiness.
  • Strong financial and analytical capability, including cost modeling, synergy estimation, benchmarking, risk quantification, and IT value-creation analysis.
  • Solid program management discipline with comfort owning governance, dependencies, milestones, and issue resolution across cross-functional teams.
  • Excellent communication skills with the ability to influence senior stakeholders and present complex technical insights in a clear, practical manner.


Additional Plus

  • Big 4 or strategy consulting experience in transaction advisory or technology transformation is a strong advantage.
  • Exposure to cloud, SaaS, cybersecurity, and modern M&A technology trends will help you contribute more quickly.
  • An MBA or advanced degree can be helpful in this client-facing, senior advisory role.


What You'll Bring

  • 8–10 years of experience in IT or technology consulting with significant exposure to M&A work and cross-functional delivery.
  • A track record of leading complex technology diligence or integration/separation programs and producing high-quality client deliverables.
  • The judgment to balance technical depth, commercial awareness, and delivery discipline in fast-moving deal environments.
  • The confidence to advise senior stakeholders, mentor team members, and drive workstreams to practical outcomes.
