GDS SaT – TSE IT – IT DD –Associate Manager– India

Within SaT, the TSE team services clients with a full range of hands-on, operationally focused support and advice across the transaction life cycle, across buyers and sellers. We cover a wide range of operational aspects, including divestiture advisory services, carve-out readiness and support, operational due diligence, synergy assessment and delivery, day-one readiness assessment, 100- day planning, integration process support, carve-out/stand-alone costs assessment and risks, and cost reduction. Our professionals work on transactions and business development across the globe.

The opportunity

We are looking for Associate Managers with expertise in pre-deal engagements, such as IT DDs, vendor assists and carve out blueprints. This is a fantastic opportunity to be part of a leading firm and develop your career through a broad scope of engagements, mentoring, and learning & development.

Your Key Responsibilities

Support TSE IT DD team on various pre-deal projects involving performing due diligence on targets, one-off separation costs and standalone costs planning, TSA identification and planning, DD reports, IT benchmarking and working on the entire pre-deal cycle.

Other activities would involve supporting other pre-deal projects such as IT Post Merger Integration, IT Carve-outs/ Separation, etc.

Skills And Attributes For Success

Must have

• Experience of working on IT DD projects and working on various deliverable related to DDs such as IRL, DD report, DD workbook for various DDs such as IT DD, software/Tech DD
• Experience of working on DDs from various sectors and capable to create insights on all DD towers within IT –
  • Applications
  • Infrastructure
  • Cyber security
  • IT organization
  • IT assets and contracts
  • IT spend (apex and opex)
  • IT strategy and policies
  • IT governance
• Worked on DD projects that required identifying the risks in investment, mitigation recommendations that would be of interest to the investor
• Estimate the one-off separation costs and standalone costs using various models
• Experience of working on vendor assist and VDD projects, and creating the reports
• Familiar with IT cost benchmarks and how to use them in DD
• Capable of drafting target operating models for IT on Day 1 and standalone, as well as planning for Day 1
• Exhibited leadership in projects involving IT transformations through improving and upgrading enterprise services, hardware and software, evaluation of IT functions, business development strategies and suggesting improvements
• Lead meetings with senior client stakeholders to advise, shape and drive the strategy and planning for IT value creation projects, IT strategy and transformations
• Be flexible to support for broader IT & Operational transaction work
• Willingness to undertake international travel as per business requirement
• Technical certifications like AWS Certified Solution Architect, Salesforce Certified Technical Architect, The Open Group TOGAF 9 Certification, or other equivalent
• Strong writing skills and experience of producing high quality reports, papers, presentations and thought leadership
• Experience of communicating with global clients, key stakeholders in IT
• Preparation of proposal materials and development of team propositions and initiatives
• Be actively involved in business development activities to help identify and research opportunities on new/existing clients

Good to have

• Experience of working on M&A projects, different type of engagements, including pre-deal (IT due diligence, carve-out planning), post-deal (e.g. integration planning, tracking) and restructuring (e.g. rapid cost reduction)
• Technical certifications such as AWS/Azure or other equivalent

To qualify for the role, you must have

• 7+ years of prior experience in working on deals within IT Technology / Consulting organization or IT department of a large organization
• B Tech / M. Tech. / MBA / PGDM (part time / full time) with B. Tech. from a reputed institute with a technology background
• Lead large IT project execution experience with in-depth knowledge of IT project life cycles
