Job purpose:

The Company Secretary is an integral part of the Legal team, providing vital support to the Board of Directors and senior management. With at least 4 years of experience, including international exposure, the ideal candidate will possess a comprehensive understanding of intricate corporate and legal requirements across various jurisdictions. This role demands proficiency in regulatory compliance, governance practices, and strategic advisory capabilities. The role further demands proactive mindset and the ability to prioritize multiple tasks effectively

Position Title- Lead Executive

Location - Gurgaon

Key responsibilities

  • Corporate Governance:
  • Advise the Board on corporate governance requirements and best practices.
  • Ensure compliance with legal, regulatory, and internal governance policies.
  • Develop and maintain governance frameworks and protocols globally.
  • Board Meetings Management:
  • Organize and facilitate Board meetings and General Meetings, including scheduling, preparation of agendas, and distribution of materials.
  • Draft and finalize minutes of meetings, ensuring accurate records of decisions and discussions.
  • Regulatory Compliance:
  • Oversee compliance with statutory filing requirements, including preparation and submission of necessary documentation to regulatory authorities across various jurisdictions.
  • Monitor changes in legislation affecting company operations and advise on implications.
  • Legal Advisory:
  • Provide legal guidance on corporate transactions, ensuring due diligence standards are met.
  • Liaise with external legal counsel and other advisors as necessary.
  • Stakeholder Communication:
  • Act as a point of contact for shareholders and maintain strong relationships with investors and stakeholders.
  • Prepare timely internal and external communications related to corporate governance.
  • Risk Management:
  • Identify potential risks related to compliance and governance and implement strategies to mitigate these risks.
  • Record-Keeping:
  • Maintain accurate and up-to-date statutory records, including shareholder registers, board resolutions, and related

documentation.

  • Ensure the secure storage and accessibility of corporate documents.
  • Corporate restructuring:
  • Implementation of projects in relation to mergers and acquisitions.
  • Not immediately but possibly involved in Public Issue, Listing and Securities Management depending on Company Strategy

Key competencies

Skills:

  • Strong analytical skills with a thorough understanding of corporate law and compliance regulations.
  • Excellent communication and interpersonal skills, capable of engaging confidently with senior executives and board members.
  • High proficiency in using corporate governance management software and Microsoft Office Suite.
  • Confidence to provide support to high-profile company staff and board members.
  • Proven experience in managing corporate governance and compliance matters.
  • Ability to learn and grasp new compliance concepts and global compliances applicable to overseas entities.
  • Meticulous attention to detail and the ability to work well under pressure.
  • Excellent organization and time management.
  • An ability to take initiative with flexible and practical approach to work.
  • Ability to work independently and as part of a team in a fast-paced environment.
