Role: Corporate Board Secretarial Specialist
Location: Bangalore
Schedule: 12:30PM-9:30PM/1:30PM-10:30PM
Working Model: Hybrid
Introduction:
We are looking for a Company Secretary to join our team in Bangalore and support a portfolio of Luxembourg-based companies.
In this senior position, the successful candidate will also be expected to support the development of junior team members, provide guidance where needed, and contribute to maintaining strong quality standards across the team.
Key Responsibilities
- Manage corporate secretarial matters for a portfolio of Luxembourg-based companies, ensuring compliance with applicable laws, regulations, and corporate governance requirements.
- Ensure that the companies and their Boards of Directors/Managers remain compliant with statutory and regulatory obligations in their day-to-day operations.
- Assist in the organization of board and shareholders’ meetings, including the preparation of board packs, agendas, and minutes.
- Draft and prepare corporate documentation, including shareholder resolutions, board resolutions, proxies, declarations, and related corporate documents.
- Prepare and coordinate legal documentation related to financing and funding transactions.
- Maintain and update statutory registers, corporate records, and internal databases, ensuring accuracy and completeness.
- Monitor and manage client deliverables and deadlines, ensuring timely execution and high-quality output.
- Coordinate and communicate effectively with internal teams, clients, auditors, banks, and other stakeholders.
- Assist with bank account openings, including the completion of required forms and collection of supporting documentation.
- Support the audit process, including the preparation and provision of corporate documentation as required.
- Provide guidance and support to junior team members, contributing to their development and ensuring quality and consistency of work.

Education And Experience
- Qualified Company Secretary (CS).
- Minimum 3 years of relevant company secretarial experience.
- Experience handling multiple entities or portfolios of United Kingdom/ Luxembourg companies is an advantage.
